The company formation process at IZDIHAR CONSULTING comprises four stages:

(1). Pre-Incorporation                       

During the Pre-Incorporation stage, we get an overview from the investor to determine the company’s:

– Legal type.

– Location.

– Primary Activities.

– Shareholder/s; and

– Manager/s.

 

(2). Preparing and Completing Incorporation Documents

For each unique company, there are specific documents that must be presented to the competent authorities to commence the incorporation process. While some of these documents must be prepared by the investor, others will be prepared by the IZDIHAR CONSULTING team. During this stage, we provide our clients with a full list of documents that are required by the local authorities. In addition, we provide them with a draft Power of Attorney (PoA), Shareholder Resolution, and the initial draft of the Articles of Association (AoA), which our legal team updates regularly to ensure that it complies with current laws and regulations of each jurisdiction.

 

(3). Company Registration

Upon receipt of the required documents from the investor, we initiate the incorporation process immediately. The time frame of this process can vary greatly based on several different factors. Nevertheless, IZDIHAR CONSULTING outlines the standard time frame according to each country, as shown in the table below:

(4). Engagement Completion

After receiving the newly-incorporated company’s documents, we ship it to the investor immediately, along with a timeline indicating all upcoming mandatory renewals and a list of post-incorporation services that IZDIHAR CONSULTING provides for its clients.

As part of company registration, we will provide you with multiple options for your office space based on your preferences. Whether you wish to establish a virtual office, fixed desk, or managed office, our team will generate a list of spectacular options in several different prime locations. In addition, our legal team will guide you with professional advice and counsel regarding the office lease agreement and whether it complies with the local laws. Afterward, we will notarize the lease agreement on your behalf as a last step to file the agreement.

We are aware that hiring a qualified Administrative Assistant in Egypt or a Governmental Relations Officer (GRO) in Saudi Arabia is critical to successfully running your business. Our human resources team will be delighted to assist you in this process. these services include, but are not limited to:

– Posting Job Advertisements.
– Providing Each Client with Qualified Staffing Options and CVs.
– Arranging Interviews—Online and/or In-Person.
– Drafting Employment Contract to Comply with Local Laws.
– Adding New Hires to the Social Insurance File.

To successfully operate your offshore company, you should open and maintain a bank account. IZDIHAR’s team has prepared a thorough report, detailing essential information about opening a business bank account in Egypt, Saudi Arabia, and Sultanate Oman. Further, at your request, our team can assist you in opening your company’s bank account in any of the mentioned countries.

Whether in Egypt, Saudi Arabia, or Sultanate Oman, if your company is on the mainland, you’ll need to hire an Auditor to inspect and approve your financial statements at the end of each fiscal year. We will provide you with a list of auditing firms to choose from for this role. Further, at your request, we can assist you in managing your company’s bookkeeping, payroll, and all other accounting matters.

Hiring employees in a foreign country requires abundant caution. It is important to avoid exposing your newly incorporated company to penalties or fines for violations of local labor laws or regulations. We at IZDIHAR know how difficult it is for foreigners to understand and track all these regulations. For that reason, we have a dedicated team that will support you in your hiring or dismissal processes. We will also draft and review your employment contracts, register your employees with the competent authorities, and provide you with pertinent updates about local labor laws.
